Terms of Service


These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and AgroVision ("we," "us," or "our"), governing your access to and use of our website, services, consultations, plant installations, maintenance programs, and all related offerings. By engaging with AgroVision in any capacity, including browsing our website, completing a contact form, commissioning a project, or purchasing a maintenance plan, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, please do not use our website or engage our services. We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services following the posting of changes constitutes your acceptance of the revised Terms.

1. Description of Services

AgroVision is a professional plant design, supply, installation, and maintenance company serving residential, commercial, and hospitality clients throughout the United States. Our services include, but are not limited to:

  • Indoor plant supply and professional installation for homes, offices, and commercial properties
  • Outdoor and seasonal planting for terraces, entrances, patios, and exterior commercial spaces
  • Routine plant maintenance visits, including watering, pruning, fertilizing, and health monitoring
  • Pest and disease inspection, diagnosis, and treatment using safe and approved methods
  • Repotting and soil replacement services for established and new plant collections
  • Phytodesign consultations, conceptual plans, and project coordination
  • Emergency plant care and recovery programs

All services are performed by trained horticultural professionals. We reserve the right to decline or discontinue service for any reason, including but not limited to safety concerns, inaccessible premises, or non-payment of invoices.

2. Service Agreements and Proposals

2.1 Project Proposals

Prior to commencing any project, AgroVision will provide a written proposal or service agreement outlining the scope of work, species recommendations, pricing, timeline, and any specific conditions. This proposal must be reviewed and accepted in writing by the Client before work begins. Verbal agreements are not binding and will not substitute for a written service agreement.

2.2 Modifications to Scope

Any changes to the agreed scope of work, including additions, substitutions, or deletions of services or plant species, must be agreed upon in writing by both parties. AgroVision may issue a revised proposal or change order, and additional charges may apply for scope modifications made after a project has commenced.

2.3 Consultation Appointments

Initial consultations may be conducted on-site, virtually, or by telephone. Consultations are scheduled by mutual agreement and are subject to availability. Cancellations must be made at least 48 hours in advance. Failure to provide adequate notice may result in a cancellation fee of up to $75.

3. Pricing, Payment, and Billing

3.1 Pricing Structure

Our pricing varies by service type, project scope, location, and plant species selected. All prices quoted are in United States Dollars (USD). Prices are subject to change; however, once a written proposal has been accepted, the agreed price will be honored for the duration of that specific project unless a change order is mutually executed.

3.2 Payment Terms

For project-based services (installations, outdoor planting), a deposit of 50% of the total project value is due upon signing of the service agreement. The remaining 50% is due upon project completion. For ongoing maintenance programs, invoices are issued monthly and are due within 15 days of the invoice date. Repotting and individual services are due in full upon completion of the service visit.

3.3 Late Payments

Invoices not paid within the agreed payment terms will incur a late fee of 1.5% per month on the outstanding balance. AgroVision reserves the right to suspend maintenance services or withhold project delivery until overdue amounts are settled. Accounts more than 60 days past due may be referred to a collections agency, and the Client will be responsible for any associated legal or collection costs.

3.4 Taxes

All applicable state and local taxes will be added to invoices where required by law. AgroVision collects and remits sales tax in accordance with Kentucky state regulations and any other applicable jurisdictions. Tax-exempt Clients must provide valid exemption documentation prior to invoicing.

4. Cancellations and Rescheduling

4.1 Cancellation by Client

Clients may cancel a signed service agreement within 72 hours of signing with no penalty, provided work has not yet commenced. Cancellations made after 72 hours but before work begins will forfeit the deposit paid. Cancellations after work has commenced will be billed for all work completed to date, plus reasonable restocking or supplier cancellation fees incurred by AgroVision on behalf of the project.

4.2 Maintenance Program Cancellation

Monthly maintenance contracts may be cancelled with 30 days written notice. Cancellations made with less than 30 days notice may be subject to a one-month termination fee equivalent to one billing cycle.

4.3 Cancellation by AgroVision

AgroVision reserves the right to cancel or reschedule any service appointment due to severe weather conditions, staff unavailability, safety hazards on the Client's premises, or other circumstances beyond our reasonable control. In such cases, we will provide as much advance notice as possible and will not charge any cancellation fees. We will reschedule at the earliest mutually convenient time.

5. Plant Health and Guarantees

5.1 Plant Selection and Quality

All plants supplied by AgroVision are sourced from vetted, reputable nurseries and inspected for health before delivery. We guarantee that all plants delivered are free from visible pests, disease, and structural damage at the time of installation. Photographs or documentation may be provided upon request.

5.2 Thirty-Day Health Guarantee

AgroVision offers a 30-day health guarantee on all plants supplied and installed by our team, provided that the Client follows any care instructions provided at the time of installation, and access is granted for any follow-up maintenance visits within that period. Plants that decline due to environmental factors beyond our control (including but not limited to inadequate watering by the Client, extreme temperature changes, direct chemical exposure, or accidental damage) are not covered under this guarantee.

5.3 Ongoing Maintenance Clients

Clients enrolled in an ongoing maintenance program benefit from enhanced plant health support. Should any plant under our active care program decline significantly due to a cause attributable to our maintenance practices, AgroVision will replace the affected plant at no additional cost, subject to a written assessment by our horticultural team.

5.4 Exclusions

Our guarantees do not cover damage caused by pets, children, third-party interference, relocation of plants by the Client without prior consultation, exposure to HVAC drafts, flooding, fire, or any other event classified as force majeure. Plant growth rate and flowering are natural biological processes and cannot be guaranteed.

6. Access and Site Conditions

The Client agrees to provide safe, unobstructed access to all areas of the property where services are to be performed. This includes parking accommodations, elevator access for multi-story buildings, and working space around plant locations. If access is denied or the site is found to be unsafe upon arrival, AgroVision reserves the right to reschedule and may charge a missed visit fee.

For initial installations, the Client must ensure the site is cleared and prepared as agreed in the service proposal. AgroVision is not responsible for delays caused by construction activity, third-party contractors, or inaccessible areas that were not disclosed at the time of proposal.

7. Intellectual Property

All design concepts, plant plans, visual presentations, written descriptions, and photographic or digital materials produced by AgroVision in connection with any project remain the intellectual property of AgroVision until the project invoice is paid in full. Upon full payment, the Client receives a limited, non-transferable license to use the design for its intended purpose at the specified property.

AgroVision retains the right to photograph completed projects for use in its portfolio, marketing materials, and on its website, unless the Client expressly requests in writing that no photographs be taken or shared. Such requests must be made at the time of signing the service agreement.

8. Limitation of Liability

To the fullest extent permitted by applicable law, AgroVision's total liability to any Client for any claim arising out of or in connection with our services shall not exceed the total amount paid by the Client to AgroVision in the 12 months preceding the claim. AgroVision shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including loss of revenue, profit, business opportunity, or goodwill, even if we have been advised of the possibility of such damages.

AgroVision does not accept liability for pre-existing structural conditions of planters, containers, walls, floors, or irrigation systems that are not installed by our team. We are not responsible for any water damage resulting from pre-existing building defects discovered during our operations.

9. Indemnification

You agree to indemnify, defend, and hold harmless AgroVision, its principals, staff, contractors, and representatives from and against any and all claims, demands, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) your negligence or willful misconduct; or (d) any third-party claim arising from your use of our services.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or our services shall first be submitted to good-faith negotiation. If the dispute is not resolved within 30 days, the parties agree to submit to binding arbitration in Paducah, Kentucky, under the rules of the American Arbitration Association.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect proprietary rights or prevent imminent harm.

11. Privacy

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and processing of your personal information as described in the Privacy Policy.

12. Entire Agreement

These Terms, together with any written service agreement or proposal signed by both parties, constitute the entire agreement between you and AgroVision with respect to the subject matter hereof, and supersede all prior understandings, negotiations, representations, and agreements, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
